Summary

This notice sets the fees payable to the JFSC by persons registered to carry on investment business in Jersey for the period 1 January to 31 December 2025. It has since been superseded by a later annual fees notice, but sets out the fee structure and late payment consequences that applied for 2025.

  • Application fee: Payable when applying for registration to carry on investment business, at the rate specified for the relevant class in the Schedule.
  • Annual fee: Payable by any person registered to carry on investment business at any point during 2025, calculated per the Schedule based on class and number of investment employees (or funds for Class E); may be remitted where another group member has paid a like fee.
  • Change of control fee: Payable on becoming, ceasing to be, or merging with a registered person, or when a shareholder controller's interest reaches or exceeds 20%, 33% or 50% (pro-rated); an extra £1,330 applies for persons under heightened supervision or enforcement.
  • Alteration fee: £529 payable for a change of name, or addition, alteration or removal of licence conditions or classes, unless a change of control fee is also payable.
  • Late payment fee: 5% of unpaid principal applied the day after the annual fee due date, and again on the 1st of each subsequent month until paid.
  • Late investment employee information fee: £200 administration fee charged the day after the due date and on the 15th of each month thereafter while information required to calculate the registration fee remains outstanding.
  • Late filing fee: £100 per complete month or part thereof that a required document remains unfiled or undelivered after its due date, unless the JFSC has agreed in writing to a later filing date.

Fee amounts differ by investment business class (A, B, C combined; D only; E only), with the Schedule setting out the application and annual fee tables including per-employee and per-fund charges.

Key obligations

  • Registered persons must pay the annual fee calculated per the Schedule for any period registered during 2025, by the due date stated on the invoice
  • Applicants for registration must pay the specified application fee with their application
  • Registered persons undergoing a change of control, merger, or cessation of registration must pay a fee per the application fee column, pro-rated for shareholder controller acquisitions at 20%, 33% or 50% thresholds
  • Registered persons applying for an alteration (name change, licence condition change, or removal of a licence class) must pay a £529 alteration fee unless a change of control fee is also due
  • Firms must supply required investment employee information by the due date on the form or incur a £200 administration fee, repeated on the 15th of each month until submitted
  • Registered persons must file or deliver documents required under the Law or related Orders by their due date or incur a £100 per month late filing fee, unless the JFSC has agreed in writing to a later date

Deadlines

  • 1 January 2025 to 31 December 2025: Period for which the fees in this notice and Schedule are effective
  • as stated on the invoice: Due date for payment of the annual fee
  • as stated on the form: Due date for submission of required investment employee information
  • day after the due date, and 1st of each calendar month thereafter: Application of the 5% late payment fee on unpaid annual fee
  • day after the due date, and 15th of each calendar month thereafter: Application of the £200 administration fee for outstanding investment employee information
  • each complete month or part thereof after the document becomes due: Accrual of the £100 late filing fee for undelivered or unfiled documents
