Sound Business Policy update: guidance on completing Registry forms (2025-11-01)

Summary
This guidance explains changes to Jersey Registry's 'Change of Activity' and 'Incorporation and Registration' forms following the revised Sound Business Policy (SBP) launched on 1 November 2025. It sets out what has changed on myRegistry forms, why, and what applicants need to do with existing draft submissions.
- Table 1 removed: The former list of financial services activities has been removed from the SBP, but applicants must still confirm whether they intend to carry on regulated financial services business, now handled via the Sensitive Activity page (Registered, Authorised and Supervised Activities), including a Holding Vehicle of a Regulated Entity section.
- Table 2 narrowed: The list of reputationally sensitive activities has been cut from 11 to 5: defence, pharmaceutical, dual use goods, mining, drilling and quarrying. The other six are now covered under separate regulatory frameworks (e.g. IC/TOs remain under the Initial Coin Offering and Token Issuers sensitive activity page).
- New form section: A new 'SBP - Activities that pose a potential risk to the reputation of the Island' section has been added, with a free text field for full details of the intended activity.
- Additional information and structure chart: Registry may request extra information on subsidiaries, wholly owned subsidiaries, or holding bodies connected to remaining SBP activities, and a structure chart is now required for all remaining SBP activities.
- Draft submissions: Existing draft incorporation, registration, or change of activity submissions saved in myRegistry do not reflect the new activity selections; applicants must delete these drafts and complete the updated forms.

Key obligations
- Applicants must confirm whether they intend to carry on regulated financial services business as part of the Sensitive Activity page disclosure.
- Applicants engaged in defence, pharmaceutical, dual use goods, mining, drilling or quarrying activities must provide full details of the intended activity in the new free text field.
- A structure chart must be submitted for all applications involving the remaining SBP activities (defence, pharmaceutical, dual use goods, mining, drilling, quarrying).
- Applicants with existing draft incorporation, registration, or change of activity submissions in myRegistry must delete those drafts and complete the updated forms.
- Applicants must be prepared to provide additional information on subsidiaries, wholly owned subsidiaries, or holding bodies connected to remaining SBP activities if requested by Registry.
