Private Funds (Fees) Regulations, 2024

Summary
These Regulations set out the fees payable by private funds under the Private Funds Act (2021 Revision). They replace and repeal the previous Private Funds (Fees) Regulations, 2020, updating the amounts payable for registration, annual renewal, and filing changes with the Cayman Islands Monetary Authority (CIMA).
The Regulations apply to private funds registered or applying to register under the Private Funds Act, including funds structured as segregated portfolio companies, exempted trusts, umbrella trust structures, master unit trust structures, and their associated alternative investment vehicles, sub-funds, and sub-trusts.
- Application fee for registration: US$300.
- Base annual registration fee: US$3,675, with additional US$300 charges per alternative investment vehicle, per segregated portfolio, and per sub-trust/sub-fund for trust structures.
- Filing fee for a change: US$300 for filing details of a change with the Authority.
The Regulations come into force immediately after the Private Funds (Amendment and Validation) Act, 2024 takes effect, and repeal the 2020 fee regulations.
Key obligations
- A private fund applying to be registered under the Private Funds Act must pay a fee of three hundred dollars.
- A private fund must pay an annual registration fee of three thousand, six hundred and seventy-five dollars.
- A private fund must pay an additional three hundred dollars for each of its alternative investment vehicles as part of the annual registration fee.
- A private fund that is a segregated portfolio company must pay an additional three hundred dollars for each segregated portfolio.
- A private fund that is an exempted trust, umbrella trust structure or master unit trust structure must pay an additional three hundred dollars for each sub-trust and each sub-fund.
- A private fund must pay a fee of three hundred dollars when filing details of a change with the Authority.
