Summary

This regulation amends the Private Funds (Fees) Regulations, 2024 by replacing the annual registration fee provision (regulation 4) for private funds registered under the Private Funds Act. It sets the base annual registration fee payable by a private fund at CI$4,125, with additional charges for certain fund structures. It was made by the Cabinet under section 31 of the Private Funds Act (2025 Revision) and published in the Legislation Gazette dated 19 December 2025.

The amendment adds extra fee components on top of the base fee, effectively restructuring the fee schedule to account for multi-vehicle and multi-portfolio fund structures rather than applying a single flat fee:

  • Alternative investment vehicles: An additional $525 for each alternative investment vehicle associated with the fund.
  • Segregated portfolios: An additional $525 for each segregated portfolio if the fund is a segregated portfolio company.
  • Separate share/unit/interest classes: An additional $525 for each other class of shares, units or interests for which the fund maintains individually presented separate accounts.

The document applies to private funds registered with CIMA under the Private Funds Act, including those structured as segregated portfolio companies or maintaining alternative investment vehicles or separate accounts. It does not contain other substantive obligations beyond the fee amounts payable.
