Summary
This is the consolidated 2025 Revision of the Limited Liability Partnership (Fees) Regulations, made under the Limited Liability Partnership Act. It sets out the schedule of fees payable to the Cayman Islands government/CIMA-administered registry in respect of limited liability partnerships (LLPs) registered or operating in the Cayman Islands. The current revision consolidates earlier amendment regulations from 2023 and 2024 and reflects fees in force as at 1 January 2025.
The regulations apply to limited liability partnerships and, where applicable, foreign registrant or applicant partnerships seeking registration, conversion, deregistration or continuation in the Cayman Islands. The Schedule sets specific fees (in KYD) for the following actions:

Key obligations
- LLPs must pay the prescribed annual fee of KYD $2,100 under section 20(1) of the Act.
- Applicants must pay the prescribed registration fee of KYD $1,000 under section 18(2) upon registering an LLP.
- Parties seeking name reservation must pay the corresponding fee (KYD $30-$160) depending on the reservation period (7, 30, 60, 90 or 120 days).
- Any change to information stated in the registration statement must be accompanied by the prescribed fee of KYD $100 under section 19(1).
- Requests to strike an LLP off the register must be accompanied by the KYD $25 fee under section 31(2).
- Conversion of an entity to an LLP requires payment of the KYD $1,000 conversion fee under section 33(3).
- Deregistration of an applicant partnership requires payment of KYD $6,000 under section 38(2)(b).
- Registration of a registrant partnership requires payment of KYD $1,000 under section 39(2)(b); provisional registration requires KYD $1,500 under section 39(6)(b), with an annual fee of KYD $1,100 for provisionally registered registrant partnerships under section 39(11)(c).
- Express processing of filings, certifications and related documents requires payment of the applicable express fee (KYD $150 or $500) under section 45B.
- General filings, copying, certification, issuance of certificates, searches, refunds, corrections, and customised certificates/letters require payment of the corresponding fees specified under section 45A.
