Summary
This document is the consolidated 2020 Revision of the Limited Liability Companies (Fees) Regulations, made under the Limited Liability Companies Law (2020 Revision). It sets out the prescribed fees payable to the Cayman Islands government (via the Registrar/CIMA framework) for various filings and services relating to Cayman Islands limited liability companies (LLCs).

The regulation itself contains no substantive conduct rules beyond the fee schedule -- it simply prescribes the fee amount payable for each specified item listed in the Schedule (Table of Fees), referencing the relevant sections of the Limited Liability Companies Law under which each fee arises (e.g., section 5(2) registration, section 57(1) annual fee, section 46(11) merger fees).
This version consolidates the original 2016 Regulations with the 2019 amendment, and is revised as at 31 December 2019, authorised for publication in this consolidated form on 7 January 2020. It applies to any person or entity registering, maintaining, amending, merging, continuing, re-registering, or striking off a Cayman Islands LLC, as these are the persons who must pay the listed fees when interacting with the Registrar.
Key obligations
- Applicants must pay the CI$800 registration fee under section 5(2) when registering an LLC.
- LLCs must pay the CI$800 annual fee under section 57(1).
- Persons reserving an LLC name must pay the applicable name reservation fee (CI$30-160) depending on the reservation period (7, 30, 60, 90, or 120 days) under section 6(3)(b).
- Persons amending a registration statement must pay a CI$75 fee per amendment under section 8(1).
- Constituent entities to a merger must pay a CI$600 fee per entity under section 46(11).
- Applicants for registration by continuation must pay a CI$800 fee under section 54(2)(b).
- Applicants for re-registration must pay a CI$800 fee under section 56(4).
- Persons requesting expedited processing must pay the applicable express fee (CI$400 for registrations/reregistrations/mergers/consolidations, or CI$100 for other express requests).
- Persons filing, copying, certifying, or obtaining certificates for documents must pay the corresponding fee (CI$75 to file, CI$125 to copy/certify/issue a certificate).
- Persons conducting a general search must pay CI$30, and those filing a dual foreign name application must pay CI$100.
- Persons filing a strike-off must pay a CI$75 fee.
- Persons requesting an inspection under section 34A(2) must pay a CI$50 fee.
