Summary

This is a Cayman Islands statutory regulation (SL 63 of 2024) made by Cabinet under the Limited Liability Companies Act (2023 Revision) that amends the fee schedule set out in the Limited Liability Companies (Fees) Regulations (2020 Revision). It does not create new substantive duties for LLCs beyond updating the amounts and descriptions of various fees payable to the Registrar in connection with LLC filings and services.

  • Certificate issuance fees (items 11 and 12): Replaces the express fees for these certificate issuances with a flat $500 fee.
  • Cross-references (items 13-15): Updates the statutory cross-references.
  • General certificate fee (item 16): Replaces the fee for issuing a general certificate with $150.
  • New fees (items 21-31): Adds a new set of fees covering matters such as refund processing, merger pre-clearance and merger fees, correction of filing errors, customised certificates and letters, and express fees for mergers, deregistration, reregistration and customised documents.

The Regulations apply to limited liability companies (LLCs) registered in the Cayman Islands and anyone submitting filings, certificates, mergers, deregistrations or reregistrations on their behalf, since these are the fee-payable transactions affected. The Regulations come into force immediately after the Limited Liability Companies (Amendment and Validation) Act, 2024 comes into force, meaning the exact effective date depends on that separate Act's commencement rather than being fixed in this instrument.

Key obligations

  • LLCs (or their registered agents) must pay the revised express fee of $500 for certificates issued under section 59B(1)(a), (b) or (c)
  • LLCs must pay $150 for issuance of any certificate under section 59A not otherwise specified in the Schedule
  • A $50 refund processing fee applies when a refund is processed
  • A $400 pre-clearance fee applies for a merger under section 46
  • A $1,000 per constituent entity fee applies for a merger under section 46, 50 or 51
  • A $125 fee applies for correction of an error made by a company on its filed documents
  • A $500 fee applies for a customised certificate or customised letter requested by a company
  • Express fees of $500 per constituent entity apply for expedited processing of mergers under section 46, 50 or 51
  • Express fees of $500 apply for expedited deregistration under section 55 or reregistration under section 56
  • Express fees of $150 apply for expedited customised certificates or customised letters
