Upcoming updates to Mutual Fund and Private Fund De-Registration Forms (2025-11-03)

Summary

This is a CIMA general industry notice announcing changes to the forms used in the REEFS portal to de-register mutual funds and private funds. The changes are meant to align the forms with CIMA's Cancellation Procedures and improve accuracy and consistency of de-registration submissions.

  • TMF-147-22 Form: Becomes TMF-147-22 v2 (Termination of a Mutual Fund or Private Fund), effective 8 November 2025, now covering both mutual and private funds.
  • TRS-142-99 Form: Becomes TRS-142-99 v2 (Termination of a SP or Series Trust or Sub-Fund), effective 8 November 2025, now also covering private fund sub-funds and alternative investment vehicles (AIVs) not separately registered as private funds.

From the effective date, all de-registration applications must be filed through REEFS using the new forms, and email submissions to Terminations@cima.ky for private fund (and related sub-fund/AIV) de-registrations will no longer be accepted.

  • Transition period (8-20 November 2025): Applicants with in-progress applications already submitted under the old forms with an existing REEFS Request ID may continue using the original forms if resubmitted under the same Request ID by 20 November 2025; after that date, unresubmitted applications are invalidated and treated as withdrawn, requiring a fresh submission on the new form.
  • Pre-8 November email submissions: Private fund (and sub-fund/AIV) de-registration applications submitted by email before 8 November 2025 do not need to be resubmitted unless they are subsequently denied, in which case a new submission must use the applicable v2 form.

This notice is primarily procedural/operational, directed at persons and entities involved in winding down or terminating registered mutual funds, private funds, sub-funds, and AIVs, and at the administrators or counsel who file such de-registration applications with CIMA.

Key obligations

  • From 8 November 2025, all mutual fund and private fund de-registration applications must be submitted via REEFS using the new TMF-147-22 v2 Form or TRS-142-99 v2 Form as applicable.
  • Email submissions of private fund (and related sub-fund/AIV) de-registration applications to Terminations@cima.ky will no longer be accepted after 8 November 2025.
  • Applications in progress under the original TMF-147-22 or TRS-142-99 forms (with an existing REEFS Request ID) must be resubmitted under the original form and same Request ID on or before 20 November 2025, or they will be invalidated and treated as withdrawn, requiring a new submission on the applicable v2 form.
  • Private fund (or sub-fund/AIV) de-registration applications submitted via email before 8 November 2025 need not be resubmitted, but if such an application is denied, a new submission must be made using the applicable v2 form.

Deadlines

  • 8 November 2025: Effective date on which the updated TMF-147-22 v2 and TRS-142-99 v2 forms take effect; all de-registration applications must thereafter be submitted via REEFS using the new forms, and email submissions to Terminations@cima.ky are no longer accepted.
  • 8–20 November 2025: Transition period during which applications already in progress under the original forms may continue to be resubmitted using the original form under the same REEFS Request ID.
  • 20 November 2025: Deadline for resubmitting in-progress de-registration applications using the original TMF-147-22 or TRS-142-99 form under the same REEFS Request ID; applications not resubmitted by this date are invalidated and considered withdrawn.
