Summary

These Regulations, made under the Financial Services (Disclosure and Provision of Information) (Jersey) Law 2020, set out exactly what information held on the JFSC's register of significant persons (beneficial ownership register) must or may be made public, how a person can apply to keep certain information private, and the extra fee payable when filing an annual confirmation statement.

  • Mandatory public information: For individuals who are significant persons: name, month/year of birth, correspondence address, nationality and occupation. For entities and other organisations that are significant persons: type, registered name and number, registered/business address, and incorporation/cessation dates.
  • Discretionary public information (companies): The Commission may choose to publish details of members holding 1% or more of a share class, aggregate numbers of smaller holders, share class details, par value company capital details, and guarantor member details and guarantee amounts.
  • Exemptions: The public-disclosure rules do not apply to persons under 18, or to significant persons who qualify only as company secretary or only through a share conferring a Jersey land occupation right.
  • Applications to withhold information: A nominated person of an entity (or, in exceptional circumstances, another person) may apply to the Commission to keep a subject's information out of public inspection on grounds of risk of violence/intimidation, risk to property, lack of capacity, or other exceptional circumstances; the Commission must decide and notify the applicant as soon as reasonably practicable.
  • Appeals: A person may appeal a Commission decision to the Royal Court within 28 days of receiving notice; the Royal Court can confirm, reverse or vary the decision and rule on costs.
  • Additional annual confirmation statement fee: An additional amount is payable when providing the annual confirmation statement: £175 for entities administered by a relevant business (a fund services business or trust company business, subject to a class O carve-out), and £145 for other entities.
  • Transitional protection: Information covered by these Regulations was protected from public disclosure until 31 May 2021, or, where the Commission extended the annual confirmation statement period, until three months after the end of that extended period.

The version shown is the official consolidated text as amended by the 2023 Amendment Regulations (which introduced the current fee structure) and by the Companies (Jersey) Amendment Law 2026 (which amended Regulation 3), and is current from 1 June 2026.

Key obligations

  • Entities administered by a relevant business (fund services business or trust company business, other than class O business) must pay an additional £175 when providing their annual confirmation statement to the Commission.
  • Other entities must pay an additional £145 when providing their annual confirmation statement to the Commission.
  • A person appealing a Commission decision under the Law or these Regulations must lodge the appeal with the Royal Court within 28 days of receiving notice of the decision.
  • An applicant seeking to withhold information from public inspection must submit an application in the approved form containing grounds and evidence, the subject's name and former names, a correspondence address, the specific information to be withheld, and the name and registered number of the connected entity.

Deadlines

  • within 28 days of receiving notice of a decision: Deadline to appeal a Commission decision to the Royal Court.
  • on providing annual confirmation statement: Additional fee of £175 (entities administered by a relevant business) or £145 (other entities) is payable.
  • before the end of 31 May 2021: Transitional period during which specified register information could not be made publicly available.
  • 3 months after the end of an extended annual confirmation statement period (if extended by the Commission): Alternative end point of the transitional protection from public disclosure of register information.
