Summary
This Order, made under the Companies (Takeovers and Mergers Panel) (Jersey) Law 2009, formally appoints the UK Panel on Takeovers and Mergers (the body referred to in the UK Companies Act 2006) as the panel with authority to exercise the functions set out in Articles 3 to 20 of the 2009 Jersey Law. It is a short administrative designation rather than a set of new compliance rules.
- Effect: Designates the UK Takeovers and Mergers Panel as the body responsible for regulating takeovers and mergers involving Jersey companies under Jersey law.
- Scope: Does not itself create new substantive rules; it operationalises the Companies (Takeovers and Mergers Panel) (Jersey) Law 2009 by naming the panel that exercises the statutory functions.
Companies and persons involved in takeovers or mergers touching Jersey companies should look to the UK Takeover Panel's rules and the Companies (Takeovers and Mergers Panel) (Jersey) Law 2009 for the substantive obligations that flow from this appointment.
Applies to
Jersey companies involved in takeovers or mergers, parties to takeover or merger transactions subject to the Companies (Takeovers and Mergers Panel) (Jersey) Law 2009
