This is DITC guidance in FAQ format ('Practice Points') explaining the practical mechanics of Economic Substance (ES) compliance in the Cayman Islands. It covers how to submit the Economic Substance Notification (ESN) via the CAP portal, how ESN Years work, and related questions about the ES Return and Tax Resident Outside the Islands (TRO) Form process on the DITC Portal. It does not create new legal rules but clarifies existing obligations under the ES Act and related Regulations, including for companies, partnerships, and service providers that file through General Registry or the DITC Portal.
ESN Filing Mechanics
- Annual prerequisite: The ESN is an annual prerequisite to filing an Annual Return, sharing the same submission deadline as the AR.
- Late submission: Late ESN submission is penalized through the AR process rather than separately.
- Struck off, deregistered, migrated or liquidated entities: These entities must still submit outstanding ESNs before deactivation in CAP.
- Change of registered office: This requires a fresh ESN submission to maintain correct Responsible Person assignment.
- Corrections to closed ESN Years: These must be made via an ES Return or TRO Form instead of amending the ESN directly.
ESN Years and Transitional Deadlines
The guidance sets out when specific ESN Years remain open for amendment in CAP, for example ESN Year 2023 remains open until 31 December 2024 and ESN Year 2024 remains open until 31 December 2025. It also clarifies transitional filing deadlines for general partnerships, limited partnerships, exempted limited partnerships and foreign limited partnerships that came into scope from 30 June 2021.
ES Returns and TRO Forms
Later sections address completion of ES Returns, including that zero relevant income must still be reported and financial statements must be uploaded, along with rules on sequencing submissions of TRO Forms across periods.
Key obligations
- Entities carrying on a relevant activity (or claiming an exemption) must submit an ESN annually via CAP before filing their Annual Return, with the ESN deadline being the same as the AR filing deadline.
- Entities pending strike off, deregistration, migration, merger/consolidation or liquidation must submit any outstanding ESN(s) for each applicable ESN Year before becoming deactivated in CAP, or otherwise notify DITC.EScompliance@gov.ky for instructions.
- Where the registered office of an entity changes after ESN submission, the new registered office should submit a fresh ESN for the entity as soon as practicable to ensure correct Responsible Person assignment.
- Where an ESN contains an error and the corresponding ESN Year is closed in CAP, the entity must correct the error via submission of an ES Return or TRO Form through the DITC Portal instead.
- All ES Returns must include submission of financial statements (at minimum a Balance Sheet and Income Statement with notes), and entities must maintain proper books of account under Section 59 of the Companies Act.
- General partnerships, limited partnerships, exempted limited partnerships and foreign limited partnerships existing prior to 30 June 2021 must submit their first ESN for ESN Year 2022, due by 31 March 2023.
- Entities that changed relevant activity during the year must disclose all relevant activities conducted on the ESN.
- An entity with zero relevant income that conducted a relevant activity must still report this on the ES Return and complete the Directed and Managed in the Islands section, and must upload financial statements/books of accounts even with zero relevant income.
- TRO Forms and ES Returns for multiple periods must be submitted in chronological order (Prior Period before Subsequent Period) to avoid rejection.

Deadlines
- same as the Annual Return (AR) filing deadline: ESN submission deadline
- 31 December 2024: ESN Year 2023 remains open/available for submission or correction in CAP until this date
- 31 December 2025: ESN Year 2024 remains open/available for submission or correction in CAP until this date
- 31 March 2023: First ESN (for ESN Year 2022) due for general/limited/exempted limited/foreign limited partnerships existing prior to 30 June 2021
- 31 January 2021: ESN Year 2019 was available in CAP until this date
- 31 December 2022: ESN Year 2020 and ESN Year 2021 were available in CAP until this date
- 31 December 2023: ESN Year 2022 was available in CAP until this date
- 12 months after year-end: ES Return (reporting relevant income) is due
