Summary

This is the 2026 consolidated revision of the Companies Management Regulations, made under the Companies Management Act. It sets out the practical mechanics for licensing under that Act: what information an applicant must submit when applying for a Companies Management Licence or Corporate Services Licence, the prescribed form of the licence itself, and the fees payable at application, on grant, and annually (or on renewal).

  • Schedule 1: Lists the detailed information and documentation required from applicants, varying depending on whether the applicant is a natural person, a partnership, a Cayman Islands-incorporated company, or a company incorporated outside the Islands. This includes questionnaires, references, police/good-standing certificates, auditor details, financial statements, business plans, shareholder and director information, and evidence of minimum net worth and relevant professional experience.
  • Schedule 2: Prescribes the standard form of the licence certificate issued by the Cayman Islands Monetary Authority.
  • Schedule 3: Sets out the table of fees, including application fees, grant fees, and annual/renewal fees for both Companies Management Licences and Corporate Services Licences, with annual fees tiered according to the number of managed or serviced companies as at 31 December of the preceding year.

The regulations apply to persons applying for, or already holding, a Companies Management Licence or Corporate Services Licence under the Companies Management Act, i.e. company management and corporate services providers regulated by CIMA. The document is largely administrative/procedural in nature -- it does not itself introduce new substantive conduct obligations beyond application content and fee payment requirements.

Key obligations

  • Applicants for a Companies Management Licence must submit the information and documentation specified in Schedule 1, tailored to whether the applicant is a natural person, partnership, Cayman-incorporated company, or foreign-incorporated company.
  • Applicants must provide questionnaires, references (including character and financial standing references), police/good conduct certificates, and evidence of professional knowledge and experience in company management, as applicable to their applicant type.
  • Applicants must demonstrate evidence satisfactory to the Authority that the required minimum net worth is, or will be, in place before grant of the licence.
  • Licensees must pay the prescribed application fee for a Companies Management Licence or Corporate Services Licence ($1,000).
  • Licensees must pay the prescribed fee on grant of a Companies Management Licence ($750) or Corporate Services Licence ($500).
  • Companies Management Licensees must pay an annual licence fee calculated per managed company (fixed per-company fee plus a tiered fee based on the number of managed companies as at 31 December of the preceding year).
  • Corporate Services Licensees must pay a renewal fee calculated per serviced company (fixed per-company fee plus a tiered fee based on the number of serviced companies as at 31 December of the preceding year).
  • A licence granted under section 5(3) of the Act must be issued in the form set out in Schedule 2.
