Summary
This is a Cayman Islands Cabinet Order made under section 282 of the Companies Act (2023 Revision) that replaces the entire list of "approved stock exchanges" set out in Schedule 4 of the Companies Act. The Order deletes the previous table and substitutes a new, expanded list of roughly 90 named exchanges (e.g. NYSE, Nasdaq, LSE, HKEX, SGX, Tokyo Stock Exchange, and many others), plus a catch-all allowing the Registrar to designate additional exchanges by Gazette notice.
- Practical effect: The change is definitional rather than procedural: Schedule 4's list of approved stock exchanges is used elsewhere in the Companies Act to determine, among other things, whether a company's shares are treated as listed on a recognised exchange for purposes such as public offer exemptions and related regulatory treatment.
- Who should check: Companies (particularly exempted companies) whose shares are or will be listed, or who rely on listing status on one of these exchanges for exemptions or treatment under the Companies Act, should check whether the exchange they use appears on the updated list.
- No new obligations: The Order itself does not create new filing duties, reporting obligations, or deadlines for companies; it is a substantive update to a statutory schedule.
It took effect upon being made in Cabinet on 18 July 2023 and was published in the Legislation Gazette on 19 July 2023.
Applies to
companies incorporated under the Companies Act (2023 Revision), particularly those listed or seeking listing on an approved stock exchange, exempted companies relying on approved stock exchange status for exemptions under the Companies Act
