Summary

This instrument amends the fee schedule under the Financial Services (Limited Partnership Fees) Regulations to align it with recent changes to beneficial ownership filing requirements for limited partnerships. It does not itself impose new substantive filing duties, but changes what (if anything) is charged for certain beneficial ownership related filings made to the Registrar.

  • Fee for section 53B(5) filing set to nil: The fee previously charged for filing the name and address of a person who holds a limited partnership's beneficial ownership information (under section 53B(4)(a)) is replaced with a fee of 0.
  • Fee description for existing limited partnerships updated: Part III, paragraph 18(1) of the Schedule to the Act is amended so that the fee entry now covers filing by an existing limited partnership of information required under sections 53A and 53B within the period specified in paragraph 18(1), subject to any extension of time granted by the Registrar under paragraph 18(2) in relation to payment of fees.
  • Commencement is linked to another instrument: The Regulations come into force on the same date as the BVI Business Companies and Limited Partnerships (Beneficial Ownership) (Amendment) (No. 2) Regulations, 2025, rather than on a fixed date.

In effect, this is a technical fee amendment supporting the wider beneficial ownership regime for limited partnerships, rather than a document that creates new compliance obligations for entities.
