BVI Business Companies (Amendment of Schedule 1) Order, 2024

Summary

This Order amends Schedule 1 (the fee schedule) of the BVI Business Companies Act, Revised Edition 2020. It sets new fees for filings introduced by recent beneficial ownership and resignation provisions, and revises existing fees for register of members filings, registered agent resignation notices, and certified or uncertified copies and inspections of Registry records.

• New fees added: $125 for filing beneficial ownership information for registration under section 96A(2); $75 for filing the name and address of a specified person holding beneficial ownership information under section 96A(5); $75 for filing a rescission notice of resignation under section 189A(5).
• Register of members fees revised: $50 for filing an initial copy of a register of members for registration (section 43A(1) and (2)); $75 for registration of a change in the register of members (section 43A(3)).
• Registered agent resignation fees revised: $100 for filing a notice of resignation as registered agent (section 93(2)); $75 for filing a rescission notice of resignation (section 93(6)).
• Certified copies, extracts and inspections revised: Fees under section 233 for certified copies/extracts of certificates (e.g. incorporation, restoration, merger, good standing) and register of members/directors, uncertified copies, duplicate certificates, physical copies where an electronic version exists, other certified/uncertified documents, and inspection of Registrar-held registers and qualifying documents (fees ranging from $50 to $250 depending on the item).

The Order takes effect on the same date that the BVI Business Companies (Amendment) Act, 2024 comes into force, rather than on a fixed date of its own.

Key obligations

• Persons filing beneficial ownership information for registration under section 96A(2) must pay a fee of $125.
• Persons filing the name and address of a specified person holding beneficial ownership information under section 96A(5) must pay a fee of $75.
• Persons filing a rescission notice of resignation under section 189A(5) or section 93(6) must pay a fee of $75.
• Persons filing an initial copy of a register of members under section 43A(1) and (2) must pay a fee of $50.
• Persons filing registration of a change in the register of members under section 43A(3) must pay a fee of $75.
• Registered agents filing a notice of resignation under section 93(2) must pay a fee of $100.
• Applicants requesting certified or uncertified copies, extracts, duplicate certificates, or inspections of Registrar-held documents under section 233 must pay the applicable fee ranging from $50 to $250 depending on the document or service requested.

Deadlines
