Summary

These are the standard Terms and Conditions of Use that govern individuals granted access to VIRRGIN, the BVI Financial Services Commission's online filing and registry system. They apply to each person who becomes an Authorised User (rather than to the corporate Subscriber, whose separate agreement with the Commission underpins this access) and set out permitted uses, prohibited conduct, account termination rules, and user obligations.

  • Who can be an Authorised User: Employees of a Subscriber in good standing with the Commission, legal practitioners entitled to practice in the BVI, insolvency practitioners licensed under the Insolvency Act, or an authorised and accepted VIRRGIN Lite Subscriber.
  • Permitted uses: Accessing Commission registers, submitting fees and payments, submitting applications and obtaining copies of documents, making filings and transactions, and accessing other Commission services offered through VIRRGIN.
  • Prohibited uses: Sharing user IDs or passwords, allowing unauthorised access, using automated or scripted access methods, accessing VIRRGIN from outside the BVI except as permitted, circumventing system controls, or using VIRRGIN for any purpose outside these Terms.
  • Account termination: The Commission may terminate or deactivate an account without notice on termination of the Subscriber agreement, after 60 days of inactivity, for breach of the Terms, or for any other reason it determines necessary.
  • User obligations: Provide true, accurate and complete registration information; report changes to that information within 7 days; immediately report unauthorised use or security breaches; log out at the end of each session; and notify the Commission when an Authorised User's employment ends.

The Terms also cover liability limitations, intellectual property restrictions, system audits and maintenance notices, and dispute resolution via the BVI International Arbitration Centre. The Commission may vary the Terms with three months notice, or unilaterally and immediately in exceptional cases.

Key obligations

  • Authorised Users must provide true, accurate, current and complete Registration Data to the Commission.
  • Authorised Users must notify the Commission within seven days of any changes to their Registration Data.
  • Authorised Users must immediately notify the Commission of any unauthorized use of a password or account or any other security breach affecting VIRRGIN.
  • Authorised Users must log out of VIRRGIN at the end of each session.
  • Subscribers/Authorised Users must notify the Commission when an Authorised User's employment with the Subscriber is terminated.
  • Authorised Users must not share or disclose their Commission-issued user ID or password.
  • Authorised Users must not access or use VIRRGIN from outside the British Virgin Islands except as permitted by the Subscriber Agreement.
  • Authorised Users must not use automated, scripted, or robotic means to access VIRRGIN.
  • Authorised Users must not print or download Materials except via VIRRGIN's or the browser's designated commands.

Applies to

Authorised Users (employees of Subscribers), legal practitioners, insolvency practitioners, VIRRGIN Lite Subscribers, Subscribers (entities with a VIRRGIN Subscriber Agreement)

Deadlines

  • within seven (7) days: Authorised User must notify the Commission of any changes to Registration Data.
  • 60 days of inactivity: Commission may terminate or deactivate an Authorised User account that has been inactive for more than sixty days.
  • no less than 24 hours notice: Commission will generally give at least 24 hours notice before performing maintenance affecting VIRRGIN's performance or availability, except in cases of urgency.
  • 3 months notice: Commission may vary these Terms and Conditions by giving Authorised Users three months notice (except in exceptional cases where it may vary immediately without notice).
