Summary

This is a public notice from the Bermuda Monetary Authority announcing that it petitioned the Supreme Court of Bermuda to wind up Rapture Global Investment Fund Ltd, an institutional fund authorised under the Investment Funds Act 2006 (IFA). By Court Order dated 4 September 2025, the Company was wound up and the Official Receiver was appointed as provisional liquidator.

  • Grounds for winding up: The BMA cited multiple breaches: failure to conduct business prudently (section 4A(2) IFA and Minimum Criteria for Licensing), failure to prepare audited financial statements (section 14(1)(a) IFA), failure to file annual compliance statements (section 26(1)(b) IFA), failure to maintain a Bermuda representative with access to books and records (section 11(2)(b) IFA), and failure to file quarterly net asset valuations (section 7(3) of the Investment Fund Rules 2019).
  • Outcome: The Authority concluded the Company and its Operators could not achieve or sustain compliance with the IFA, leading to the winding up decision.
  • Contact: Questions about the Company should be directed to the Official Receiver by email.

This notice is purely informational and relates only to Rapture Global Investment Fund Ltd; it does not impose new ongoing obligations on other regulated entities but illustrates the BMA's enforcement approach to non-compliant investment funds.
